Welcome to TourFX.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Studio Holdings LLC d/b/a TourFX ("TourFX," "Company," "we," "our," or "us"), governing your access to and use of the TourFX website, applications, software, APIs, mobile applications, artificial intelligence services, and all related products, features, content, and services (collectively, the "Services").

Please read these Terms carefully before using the Services.

By accessing, browsing, creating an account, uploading content, purchasing a subscription, downloading generated media, or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and any additional policies or supplemental terms that are expressly incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use the Services.

If you are entering into these Terms on behalf of a company, brokerage, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms "you" and "your" refer to both you and the entity you represent.

TourFX may revise these Terms from time to time to reflect changes to our Services, technology, business operations, legal requirements, security practices, or pricing.

When we make material changes, we will update the Last Updated date at the beginning of these Terms and, where required by applicable law, provide additional notice through the Services or by email.

Unless otherwise required by law, your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue use of the Services before the revised Terms become effective.

By using the Services, you represent and warrant that:

• You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction.
• You possess the legal capacity to enter into a legally binding agreement.
• Any information you provide to TourFX is accurate, current, and complete.
• You will maintain the accuracy of your account information.
• You will use the Services only in compliance with all applicable laws, regulations, licensing requirements, court orders, and professional standards applicable to your business or industry.

TourFX reserves the right to suspend or terminate access to the Services if we reasonably believe you are not eligible to use the Services or have violated these Terms.

TourFX is designed primarily for professional and commercial users, including, but not limited to:

• Real estate agents
• Real estate brokerages
• Real estate photographers
• Media companies
• Marketing agencies
• Home builders
• Property developers
• Property managers
• Vacation rental managers
• Interior designers
• Other businesses creating real estate or property marketing content

Nothing contained in these Terms shall be interpreted as creating any partnership, joint venture, agency, employment, franchise, fiduciary, or similar relationship between you and TourFX.

By creating an account or using the Services, you consent to receive electronic communications from TourFX, including:

• Account notifications
• Security alerts
• Billing receipts and invoices
• Subscription notices
• Service announcements
• Legal notices
• Product updates
• Customer support communications
• Other communications relating to your account or use of the Services

You agree that all agreements, notices, disclosures, and other communications that TourFX provides electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing or promotional emails at any time by following the unsubscribe instructions contained within those emails. However, you may not opt out of transactional, security, billing, or other communications that are necessary for the operation of your account or the Services.

TourFX may update its contact information from time to time by posting the updated information on the Services.

TourFX provides an artificial intelligence-powered software platform that enables users to create, edit, enhance, transform, and generate digital media and marketing content for real estate, architecture, hospitality, construction, property management, interior design, vacation rentals, and related industries (the "Services").

The Services may utilize artificial intelligence, machine learning, automation, third-party technologies, and other software tools to process User Content and generate new digital media and creative outputs.

The Services may include, but are not limited to, the following features.

TourFX continually develops and improves the Services. We may add, remove, modify, discontinue, replace, or enhance features, functionality, tools, integrations, artificial intelligence models, workflows, export formats, pricing, subscriptions, or other aspects of the Services at any time, with or without prior notice.

References within these Terms to the Services include any future products, features, enhancements, updates, or improvements offered by TourFX unless expressly stated otherwise.

Nothing in these Terms obligates TourFX to release, continue offering, or support any particular feature or functionality.

From time to time, TourFX may offer certain features, tools, AI models, integrations, or functionality designated as "Beta," "Preview," "Experimental," "Early Access," or similar (collectively, "Beta Features").

Beta Features are provided solely for evaluation and testing purposes and may:

• contain bugs, errors, or inaccuracies;
• produce unexpected or inconsistent results;
• change substantially before public release;
• be modified, suspended, or discontinued at any time;
• have limited documentation or customer support.

TourFX makes no representations or warranties regarding Beta Features and has no obligation to continue developing, supporting, or releasing any Beta Feature as part of the Services.

Your use of any Beta Feature is entirely voluntary and at your own risk.

Certain features of the Services require you to create an account. Your account is personal to you, and you are responsible for all activity that occurs under your account.

Certain features of the Services require you to create an account.

When creating an account, you agree to provide accurate, current, and complete information and to promptly update your information if it changes. You may not create an account using false, misleading, or fraudulent information or impersonate any other individual or entity.

TourFX reserves the right to refuse registration, require additional verification, reclaim usernames, or reject account creation at its sole discretion where permitted by applicable law.

You are responsible for maintaining accurate account information throughout your use of the Services.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any authentication methods associated with your account.

You are responsible for all activities that occur under your account, whether authorized by you or not, unless caused by TourFX's failure to maintain reasonable security measures.

If you believe your account has been accessed without authorization or your credentials have been compromised, you must notify TourFX immediately at support@tourfx.ai.

TourFX is not responsible for losses resulting from your failure to safeguard your account credentials or maintain reasonable account security.

Unless expressly permitted by your subscription plan or a separate written agreement with TourFX, each account is licensed for use by a single individual.

You may not:

• Share your login credentials with another person.
• Permit multiple individuals to use a single account.
• Sell, transfer, rent, sublicense, or assign your account.
• Circumvent user limits or subscription restrictions.

Organizations purchasing multi-user or team subscriptions may authorize multiple users only to the extent permitted by their applicable subscription plan.

You remain responsible for the actions of anyone accessing the Services through your account.

TourFX may temporarily suspend or restrict access to all or part of the Services if we reasonably believe that:

• You have violated these Terms.
• Your account has been compromised or is being used without authorization.
• Your use of the Services presents a security risk.
• Your activities may expose TourFX, other users, or third parties to legal liability.
• Your use of the Services interferes with the operation, security, or stability of the platform.
• Suspension is otherwise necessary to investigate suspected fraud, abuse, unlawful activity, or violations of these Terms.

Where reasonably practicable, TourFX may notify you of the suspension and provide an opportunity to resolve the issue before restoring access. However, TourFX may suspend access immediately when necessary to protect the Services, other users, or TourFX.

You may terminate your account at any time by following the account deletion process within the Services or by contacting TourFX at support@tourfx.ai.

TourFX may terminate your account or permanently discontinue your access to the Services if:

• You materially violate these Terms.
• You engage in fraudulent, abusive, unlawful, or harmful conduct.
• You repeatedly violate these Terms after receiving notice.
• TourFX is required to do so by law or governmental authority.
• TourFX permanently discontinues the Services or a portion of the Services associated with your account.

Termination of your account does not automatically entitle you to a refund unless expressly provided elsewhere in these Terms or required by applicable law.

Following termination, your right to access and use the Services immediately ends. TourFX may delete or retain account information and User Content in accordance with these Terms, applicable law, and our internal data retention practices.

For purposes of these Terms, "User Content" means any photographs, images, videos, audio recordings, logos, branding materials, text, prompts, property information, graphics, documents, designs, or other content that you upload, submit, import, transmit, or otherwise provide to TourFX in connection with the Services.

You retain all ownership rights and intellectual property rights in and to your User Content.

These Terms do not transfer ownership of your User Content to TourFX.

By uploading or submitting User Content to the Services, you grant TourFX a limited, worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, modify, process, display, and otherwise use your User Content solely as necessary to:

• Provide and operate the Services;
• Process your requests;
• Generate AI outputs;
• Maintain and improve platform functionality;
• Perform security, fraud prevention, debugging, backup, and system administration;
• Comply with applicable law and legal obligations.

This license terminates when your User Content is permanently deleted from the Services, except to the extent retention is required for legal, security, backup, or operational purposes.

You are solely responsible for all User Content you upload or otherwise provide through the Services.

You acknowledge and agree that TourFX does not review, verify, endorse, monitor, or guarantee the accuracy, legality, ownership, authenticity, or quality of User Content before it is processed.

You assume all risks associated with your User Content, including any claims relating to ownership, copyright, trademark, privacy, publicity rights, contractual obligations, or applicable laws.

You represent and warrant that, for all User Content you upload or submit:

• You own the User Content or possess all rights, licenses, permissions, and authorizations necessary to use it with the Services.
• Your use of the Services does not violate any copyright, trademark, patent, trade secret, contract, license, privacy right, publicity right, or other legal right of any third party.
• You have obtained all necessary permissions from property owners, photographers, agents, brokerages, clients, contractors, or other parties whose consent may be required.
• Your User Content complies with all applicable laws, regulations, MLS rules, licensing requirements, and professional standards.

TourFX is not responsible for verifying ownership or authorization before processing User Content.

You may not upload, submit, import, generate, or otherwise use the Services in connection with User Content that:

• Infringes or misappropriates the intellectual property rights of another person or entity.
• Violates any law or regulation.
• Contains malicious software, viruses, malware, ransomware, or other harmful code.
• Is fraudulent, deceptive, defamatory, obscene, or unlawful.
• Violates the privacy, publicity, or other legal rights of any person.
• Promotes illegal activities or unlawful conduct.
• Is intended to interfere with, disrupt, or compromise the security or operation of the Services.
• Violates these Terms or any applicable TourFX policy.

TourFX reserves the right, but has no obligation, to remove, reject, disable access to, or refuse to process any User Content that we reasonably believe violates these Terms or applicable law.

TourFX may store User Content and related files to provide the Services and improve your user experience.

TourFX does not guarantee that User Content will be stored indefinitely or remain available for any particular period of time.

Storage limits, retention periods, upload limits, file sizes, and availability may vary depending on your subscription plan, system limitations, operational requirements, or other business considerations.

You are solely responsible for maintaining your own backup copies of all User Content.

TourFX shall not be responsible for any loss of User Content except to the extent required by applicable law.

You may delete your User Content through the Services where such functionality is available.

Following deletion, TourFX will make commercially reasonable efforts to remove the deleted User Content from active systems within a reasonable period of time.

Notwithstanding the foregoing, TourFX may retain copies of User Content:

• In backup systems;
• For disaster recovery purposes;
• To comply with legal obligations;
• To enforce these Terms;
• To investigate fraud, abuse, or security incidents;
• As otherwise required or permitted by applicable law.

Any retained copies will continue to be subject to the confidentiality, security, and licensing provisions of these Terms until permanently deleted.

For purposes of these Terms, "Generated Content" means any image, video, audio, text, voiceover, animation, virtual staging, virtual twilight image, object removal, enhancement, branding asset, marketing material, or other output generated by the Services using User Content, prompts, artificial intelligence models, automation, or related technologies.

TourFX utilizes artificial intelligence, machine learning models, automation, and other technologies to process User Content and generate Generated Content based on your instructions, prompts, uploaded files, selected settings, and other inputs.

Because artificial intelligence is probabilistic in nature, Generated Content may differ from your expectations and may not precisely match your requested instructions.

The Services are intended to assist users in creating marketing content and creative assets and should not be relied upon as factual representations of real-world conditions without appropriate review.

TourFX does not guarantee that Generated Content will be:

• Accurate;
• Complete;
• Error-free;
• Suitable for any particular purpose;
• Factually correct;
• Free from visual artifacts or inconsistencies;
• Consistent across multiple generations using identical inputs.

Artificial intelligence may introduce unintended modifications, omissions, distortions, or inaccuracies.

You acknowledge that Generated Content should not be relied upon without independent review.

You are solely responsible for reviewing, inspecting, and approving all Generated Content before downloading, publishing, distributing, displaying, advertising, printing, or otherwise using it.

You are responsible for ensuring that Generated Content:

• Accurately represents the property or subject matter where required;
• Complies with applicable laws and regulations;
• Complies with MLS rules and policies;
• Complies with brokerage requirements;
• Includes any disclosures required by applicable law or industry standards;
• Does not infringe the rights of any third party.

TourFX is not responsible for verifying the accuracy, legality, or regulatory compliance of Generated Content before or after delivery.

Artificial intelligence models may produce different outputs even when provided with identical User Content, prompts, settings, or instructions.

TourFX does not guarantee consistency, repeatability, or identical results between separate generations.

The quality, style, appearance, and characteristics of Generated Content may change over time as the Services, AI models, or underlying technologies evolve.

Subject to your compliance with these Terms and applicable law, TourFX assigns to you any ownership rights TourFX may have in Generated Content created specifically for your account through the Services.

To the extent ownership cannot be assigned under applicable law, TourFX grants you a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, distribute, publish, and otherwise exploit such Generated Content for any lawful purpose.

This assignment or license applies only to Generated Content created from your own User Content and does not transfer ownership of the TourFX Services, software, artificial intelligence models, algorithms, templates, workflows, trademarks, or other intellectual property.

Unless otherwise expressly stated by TourFX or restricted by applicable law or third-party licensing terms, you may use Generated Content for personal or commercial purposes, including marketing, advertising, real estate listings, websites, social media, print materials, presentations, client deliverables, and other lawful business purposes.

You remain solely responsible for ensuring your intended use complies with all applicable laws, regulations, licensing requirements, contractual obligations, and third-party rights.

TourFX does not claim ownership of your User Content or Generated Content for the purpose of training proprietary artificial intelligence models.

However, TourFX may use anonymized, aggregated, technical, and operational data relating to your use of the Services for purposes such as improving platform performance, security, reliability, analytics, fraud prevention, and product development, provided such information does not identify you or disclose your confidential User Content.

Nothing in this section limits the rights of third-party service providers whose artificial intelligence technologies may process User Content solely as necessary to provide the Services.

TourFX will not publicly display, advertise, publish, or otherwise showcase your User Content or Generated Content without your permission, except:

• As necessary to provide the Services;
• As required by law;
• As otherwise authorized by you in writing or through the Services.

If you voluntarily submit testimonials, reviews, case studies, or participate in promotional programs, TourFX may use the materials you authorize for marketing and promotional purposes in accordance with the permissions you provide.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may not use, or permit others to use, the Services in any manner that violates applicable law, infringes the rights of others, interferes with the operation of the Services, or otherwise exceeds the scope of your authorized use.

Without limiting the foregoing, you agree not to engage in any of the following prohibited activities.

You may not use the Services to create, upload, process, distribute, or promote content that:

• Violates any applicable law, regulation, court order, or governmental requirement.
• Promotes or facilitates criminal activity.
• Is fraudulent, deceptive, or intentionally misleading.
• Violates the legal rights of any person or entity.

You may not upload, generate, distribute, or use content that infringes or misappropriates the copyright, trademark, patent, trade secret, publicity rights, privacy rights, or other intellectual property rights of any third party.

You are solely responsible for ensuring that you possess all necessary rights and permissions to use any content submitted to the Services.

You may not upload, transmit, distribute, or introduce:

• Viruses;
• Malware;
• Ransomware;
• Spyware;
• Trojan horses;
• Malicious scripts;
• Harmful code;
• Any software intended to interfere with, damage, or gain unauthorized access to systems, networks, devices, or data.

Except to the extent prohibited by applicable law, you may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
• Circumvent technical limitations or security measures.
• Probe, scan, or test the vulnerability of the Services.
• Access or attempt to access accounts, systems, or data belonging to other users.
• Interfere with the operation, security, or integrity of the Services.

You may not use bots, scripts, crawlers, automated systems, or similar technologies to access or use the Services in a manner that:

• Circumvents intended functionality;
• Places unreasonable demands on TourFX systems;
• Bypasses usage limitations;
• Scrapes or harvests data without authorization;
• Disrupts the experience of other users.

Authorized API access or automation expressly provided by TourFX is permitted only in accordance with the applicable documentation and license terms.

You may not attempt to:

• Bypass subscription restrictions;
• Avoid credit consumption;
• Manipulate billing systems;
• Exploit software bugs or technical errors;
• Obtain unauthorized access to paid features;
• Circumvent account limitations or pricing structures.

Unless expressly permitted under your subscription plan, you may not:

• Share account credentials with another person;
• Allow multiple users to access a single-user account;
• Sell, lease, sublicense, transfer, or assign your account;
• Purchase or obtain unauthorized access to another user's account.

You may not use the Services in a manner that unreasonably consumes system resources or negatively impacts the performance, availability, or reliability of the Services.

TourFX reserves the right to investigate excessive usage patterns and implement reasonable technical limitations or other measures to protect the stability of the Services.

You may not use the Services to:

• Commit fraud or facilitate fraudulent activity;
• Misrepresent your identity or authority;
• Submit false or misleading information;
• Deceive customers, clients, consumers, or third parties;
• Circumvent contractual or legal obligations.

You may not use the Services to create or distribute content that unlawfully impersonates another individual, falsely represents a person's identity, or otherwise violates applicable laws relating to identity, publicity, privacy, fraud, or deception.

Nothing in this section prohibits lawful creative, educational, or authorized uses that comply with applicable law and these Terms.

You are solely responsible for ensuring that your use of the Services, including any User Content and Generated Content, complies with:

• Applicable federal, state, and local laws;
• Fair housing laws;
• MLS rules and policies;
• REALTOR® rules and professional standards;
• Brokerage policies;
• Advertising regulations;
• Licensing requirements; and
• Any other legal or contractual obligations applicable to your business.

TourFX does not review or verify whether Generated Content complies with MLS rules, brokerage requirements, or applicable law.

TourFX reserves the right, but has no obligation, to investigate suspected violations of this Section.

If TourFX reasonably believes that you have violated these Terms or that your use of the Services presents a risk to TourFX, other users, or third parties, TourFX may, without prior notice where permitted by applicable law:

• Remove or refuse to process content;
• Suspend or terminate your account;
• Restrict access to certain features;
• Cancel pending transactions;
• Cooperate with law enforcement or governmental authorities; and
• Take any other action reasonably necessary to protect the Services, TourFX, or others.

TourFX's decision to enforce or not enforce any provision of this Section in a particular instance does not waive its right to enforce these Terms in the future.

Except for the rights expressly granted to you under these Terms, TourFX and its licensors retain all right, title, and interest in and to the Services and all related intellectual property.

Nothing in these Terms transfers ownership of the Services or any TourFX intellectual property to you.

The Services, including all software, source code, object code, artificial intelligence models, algorithms, workflows, user interfaces, website design, applications, graphics, icons, templates, databases, APIs, documentation, text, visual designs, branding elements, trade dress, features, functionality, and all related technology are owned by or licensed to TourFX and are protected by copyright, trademark, trade secret, patent, and other applicable intellectual property laws.

Except for User Content and the rights granted to you in Generated Content under these Terms, all rights in the Services remain the exclusive property of TourFX or its licensors.

Subject to your continued compliance with these Terms and any applicable subscription requirements, TourFX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes during the applicable subscription period.

This license does not permit you to:

• Copy or reproduce the Services except as expressly permitted by these Terms;
• Modify, adapt, translate, or create derivative works of the Services;
• Reverse engineer, decompile, or disassemble the Services except where prohibited by applicable law;
• Sell, lease, sublicense, distribute, or commercially exploit the Services;
• Remove or alter proprietary notices or branding;
• Use the Services to develop or train competing products or services;
• Use the Services in any manner not expressly authorized by these Terms.

Any rights not expressly granted to you are reserved by TourFX.

The TourFX name, logo, trademarks, service marks, trade names, branding, slogans, graphics, and other identifying marks are the exclusive property of TourFX or its licensors.

You may not use, reproduce, display, modify, register, or otherwise exploit any TourFX trademark or branding without TourFX's prior written consent, except as necessary to accurately identify TourFX as the provider of the Services.

Nothing in these Terms grants you any ownership interest or license in TourFX trademarks beyond this limited permission.

All content made available through the Services, including software, website content, graphics, documentation, layouts, designs, interfaces, and other original works, is protected by United States and international copyright laws.

Unauthorized copying, reproduction, distribution, publication, or commercial exploitation of TourFX copyrighted materials is strictly prohibited except as expressly permitted by these Terms or applicable law.

If you voluntarily provide TourFX with suggestions, ideas, comments, feature requests, bug reports, recommendations, testimonials, or other feedback regarding the Services ("Feedback"), you grant TourFX a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit such Feedback for any lawful purpose without restriction or compensation to you.

You represent and warrant that you have the necessary rights to provide such Feedback.

TourFX is under no obligation to implement, acknowledge, or compensate you for any Feedback.

Except for the limited rights expressly granted under these Terms, TourFX reserves all rights, title, and interests in and to the Services and all associated intellectual property.

No license or other right shall be implied by estoppel, waiver, course of dealing, or otherwise.

Any unauthorized use of the Services or TourFX intellectual property may result in suspension or termination of your account and may subject you to civil or criminal liability under applicable law.

Certain features of the Services require the purchase of a paid subscription or the use of credits. By purchasing a subscription, credits, or other paid offerings, you agree to the pricing, payment, renewal, and cancellation terms described in this Section and as presented to you at the time of purchase.

Certain features of the Services require the purchase of a paid subscription.

TourFX may offer multiple subscription plans with different features, usage limits, credit allocations, pricing, storage limits, and service levels. The features included with each subscription plan are described on the TourFX website or within the Services at the time of purchase.

Your subscription begins upon successful payment and continues for the applicable billing period unless canceled in accordance with these Terms.

Certain features of the Services may require the use of credits.

Credits may be included with your subscription, purchased separately, awarded through promotional programs, or otherwise made available by TourFX.

Credits:

• Have no cash value.
• Are non-transferable unless expressly authorized by TourFX.
• May not be sold, exchanged, or redeemed for cash.
• May only be used within the Services.
• Are subject to these Terms and any additional terms communicated by TourFX.

TourFX reserves the right to modify credit allocations, pricing, or eligible uses for credits upon reasonable notice where required by applicable law.

Credits are deducted when you initiate eligible Services, including AI generation, rendering, processing, exporting, downloading, or other credit-based functionality, as determined by TourFX.

Credit consumption occurs upon submission of a processing request and is not dependent upon whether the resulting output fully satisfies your expectations.

TourFX may, in its sole discretion, restore credits in cases involving verified billing errors, system failures, or other circumstances it determines appropriate.

TourFX reserves the right to determine the number of credits required for particular features and may modify credit requirements from time to time.

Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period using your designated payment method.

By purchasing a recurring subscription, you authorize TourFX to automatically charge the applicable subscription fees, taxes, and other authorized charges until you cancel your subscription.

You may cancel automatic renewal at any time before your next renewal date. Cancellation prevents future renewal charges but does not affect the current subscription period.

You authorize TourFX and its third-party payment processors to charge your selected payment method for:

• Subscription fees;
• Credit purchases;
• Applicable taxes;
• Authorized upgrades;
• Other charges you authorize through the Services.

You agree to maintain current, complete, and accurate payment information.

Failure to maintain valid payment information may result in suspension or termination of your access to paid Services.

Unless otherwise expressly stated, all prices are exclusive of applicable taxes.

You are responsible for paying all applicable sales, use, value-added, goods and services, withholding, or similar taxes associated with your purchase, excluding taxes based solely on TourFX's income.

Where required by law, TourFX will collect and remit applicable taxes.

TourFX may modify subscription pricing, credit pricing, or other fees from time to time.

Price changes will not apply retroactively.

For recurring subscriptions, revised pricing will generally become effective at the beginning of your next billing cycle following reasonable advance notice where required by applicable law.

Your continued use of the applicable paid Services after the effective date of the new pricing constitutes your acceptance of the updated pricing.

If a payment cannot be successfully processed for any reason, including expiration of your payment method, insufficient funds, or payment processor rejection, TourFX may:

• Retry the payment;
• Suspend access to paid features;
• Restrict account functionality;
• Cancel pending purchases;
• Require an alternative payment method; or
• Terminate your subscription if payment is not successfully completed.

TourFX is not responsible for any fees charged by your financial institution or payment provider resulting from failed payment attempts.

You may cancel your subscription at any time through your account settings or by contacting TourFX.

Unless otherwise required by applicable law or expressly stated in these Terms, subscription fees, credit purchases, and other payments are non-refundable.

Cancellation becomes effective at the end of your current billing period unless otherwise specified.

Following cancellation, you will continue to have access to your paid subscription features until the end of the billing period for which payment has already been made.

You may downgrade your subscription plan in accordance with the options made available through the Services.

Downgrades generally become effective at the beginning of your next billing cycle unless TourFX expressly provides otherwise.

Downgrading your subscription may result in reduced feature access, lower usage limits, decreased storage capacity, reduced credit allocations, or the loss of certain functionality.

You may upgrade your subscription at any time.

Unless otherwise specified at the time of purchase, upgrades become effective immediately upon successful payment.

When applicable, TourFX may prorate subscription charges or credits based on the remaining portion of your current billing period.

The upgraded subscription will thereafter renew at the pricing applicable to the upgraded plan unless canceled in accordance with these Terms.

TourFX provides digital products and services that are delivered electronically. Because digital products cannot be returned and many Services require immediate consumption of computing resources upon submission, all purchases are generally final.

Except as expressly provided in these Terms or required by applicable law, subscription fees, credit purchases, and other payments made to TourFX are non-refundable.

Nothing in this Section limits any non-waivable consumer rights that may apply under applicable law.

TourFX provides digital products and services that are delivered electronically. Because digital products cannot be returned and many Services require immediate consumption of computing resources upon submission, all purchases are generally final.

Except as expressly provided in these Terms or required by applicable law, subscription fees, credit purchases, and other payments made to TourFX are non-refundable.

Nothing in this Section limits any non-waivable consumer rights that may apply under applicable law.

Once AI processing, rendering, generation, enhancement, export, download, or other digital delivery has begun, the applicable transaction is considered fulfilled.

Refunds will not be provided because:

• The Generated Content did not meet your subjective expectations;
• You changed your mind after initiating processing;
• You no longer need the generated content;
• You selected incorrect settings, prompts, files, or options;
• The output differs from your expectations due to the probabilistic nature of artificial intelligence.

Users are encouraged to carefully review all uploaded files, prompts, and settings before initiating processing.

Credits are consumed when an eligible processing request is submitted, regardless of whether the resulting output meets your expectations.

Unused credits generally are not redeemable for cash and are not refundable unless required by applicable law or expressly authorized by TourFX.

TourFX may, at its sole discretion, restore credits in circumstances involving verified technical failures, duplicate processing caused by system errors, or other situations TourFX determines warrant a credit adjustment.

If you believe you have been charged incorrectly, you must notify TourFX within thirty (30) days of the applicable charge by contacting support@tourfx.ai.

If TourFX determines that a billing error occurred, TourFX may, at its discretion:

• Issue a full or partial refund;
• Restore credits;
• Apply an account credit;
• Correct the billing error through another appropriate remedy.

Failure to report a suspected billing error within a reasonable period may limit TourFX's ability to investigate or correct the issue.

TourFX may, in its sole discretion, provide refunds, credits, or other accommodations in exceptional circumstances, including:

• Duplicate charges;
• Verified technical failures preventing delivery of the purchased Service;
• Billing system errors;
• Fraudulent transactions verified by TourFX; or
• Other circumstances TourFX determines warrant an exception.

Any refund, credit, or accommodation provided in one instance does not obligate TourFX to provide similar relief in future situations.

If you initiate a chargeback or payment dispute without first providing TourFX a reasonable opportunity to investigate and resolve the issue, TourFX reserves the right, to the extent permitted by applicable law, to:

• Suspend or terminate your account;
• Revoke access to paid Services;
• Remove promotional credits or account benefits associated with the disputed transaction;
• Recover amounts owed through lawful means; and
• Contest the chargeback with the applicable payment processor or financial institution.

Nothing in this Section limits your legal rights to dispute unauthorized or fraudulent charges with your financial institution.

Users are encouraged to contact TourFX at support@tourfx.ai before initiating a payment dispute so that we may attempt to resolve the matter promptly.

The Services may integrate with, rely upon, or make available products, services, software, platforms, content, application programming interfaces ("APIs"), payment processors, artificial intelligence models, cloud infrastructure, and other technologies provided by independent third parties ("Third-Party Services").

Your use of any Third-Party Services is subject to the applicable third party's own terms, conditions, privacy policies, and other agreements. TourFX does not control and is not responsible for the content, policies, security, availability, or practices of Third-Party Services.

TourFX may utilize third-party payment processors, including Stripe or other payment service providers, to process subscription payments, credit purchases, refunds, and other financial transactions.

TourFX does not store your complete payment card information. Payment processing is subject to the applicable payment processor's terms and privacy practices.

TourFX is not responsible for payment processing delays, declined transactions, banking errors, or interruptions caused by third-party payment providers.

The Services may permit account registration or sign-in through third-party identity providers, including Google or similar authentication services.

If you choose to authenticate through a third-party provider, you authorize TourFX to receive the account information made available by that provider as permitted by your account settings.

TourFX is not responsible for interruptions, restrictions, or changes affecting third-party authentication services.

TourFX utilizes third-party cloud hosting, storage, networking, content delivery, and computing infrastructure, including services that may be provided by Amazon Web Services (AWS) or other providers.

TourFX is not responsible for outages, interruptions, delays, or data loss caused by third-party infrastructure providers.

TourFX may utilize artificial intelligence models, machine learning systems, image generation models, video generation models, voice synthesis technologies, large language models, and related AI services provided by TourFX or third-party providers.

The availability, quality, speed, features, and output of AI-powered functionality may change due to updates, outages, modifications, licensing changes, or other actions taken by those providers.

TourFX does not guarantee the continued availability of any specific AI provider or AI model.

Certain Services may utilize music libraries, sound effects, voice synthesis, narration, or other audio content supplied by third-party providers.

Your use of such content may be subject to additional licensing restrictions or usage limitations imposed by the applicable provider.

You are responsible for ensuring that your use of generated media complies with all applicable third-party licensing requirements.

TourFX may allow you to connect your Dropbox account or other cloud storage services to import, export, synchronize, or store User Content.

By connecting a third-party storage account, you authorize TourFX to access only the files and information necessary to provide the requested functionality.

TourFX does not own or control Dropbox or any other cloud storage provider and is not responsible for:

• Service interruptions;
• File synchronization delays;
• Data availability;
• Storage limitations;
• Changes to third-party APIs;
• Actions taken by the cloud storage provider.

TourFX may permit you to import listing information, photographs, property details, addresses, or other real estate data from Zillow or other third-party property data providers where permitted by applicable law and the provider's terms.

TourFX does not own, control, endorse, or guarantee the availability, completeness, accuracy, or legality of any third-party property data.

You are solely responsible for ensuring that your access to and use of property information, listing photographs, and related data complies with:

• The applicable provider's terms of service;
• Copyright laws;
• MLS rules;
• Licensing agreements;
• Applicable laws and regulations; and
• Any permissions required from photographers, brokers, property owners, or other rights holders.

TourFX may suspend or discontinue access to third-party property data integrations at any time if required by the provider, applicable law, or technical limitations.

TourFX may offer integrations with customer relationship management (CRM) systems, MLS platforms, social media platforms, marketing tools, cloud storage providers, communication services, mapping services, analytics platforms, and other third-party software.

TourFX may modify, suspend, replace, or discontinue any integration at any time if the applicable provider changes its APIs, pricing, licensing terms, technical requirements, or otherwise makes continued integration impractical.

TourFX does not guarantee that any third-party integration will remain available, uninterrupted, compatible, or error-free.

The availability and functionality of certain features within the Services depend upon Third-Party Services that are outside TourFX's control.

Accordingly, TourFX shall not be liable for any interruption, delay, outage, pricing change, feature removal, security incident, data loss, API limitation, or discontinuation of any Third-Party Service.

References to third-party companies or products within the Services do not constitute an endorsement, sponsorship, or partnership unless expressly stated otherwise.

TourFX strives to provide reliable, secure, and high-quality Services. However, because the Services rely on internet connectivity, cloud infrastructure, artificial intelligence providers, third-party integrations, and other technologies outside of TourFX's direct control, uninterrupted availability cannot be guaranteed.

The Services are provided on an "as available" basis.

TourFX does not guarantee that the Services will be:

• Available at all times;
• Uninterrupted;
• Error-free;
• Free from delays;
• Free from outages;
• Free from security incidents; or
• Available in every geographic location.

Temporary interruptions may occur due to scheduled maintenance, emergency maintenance, software updates, hardware failures, internet outages, third-party service interruptions, cybersecurity events, or circumstances beyond TourFX's reasonable control.

TourFX may perform scheduled or emergency maintenance at any time to maintain, improve, repair, secure, or update the Services.

Whenever reasonably practicable, TourFX will attempt to minimize disruption and may provide advance notice of scheduled maintenance. However, TourFX reserves the right to perform maintenance without prior notice when necessary to protect the Services, users, or third-party infrastructure.

Maintenance may temporarily affect the availability or functionality of some or all Services.

Certain Services may be designated as beta, preview, experimental, early access, or similar features.

Such features are provided for evaluation purposes and may:

• Be incomplete or under development;
• Contain bugs or other defects;
• Produce inconsistent or unexpected results;
• Change significantly before general release;
• Be modified or discontinued at any time.

TourFX has no obligation to continue supporting or publicly release any Beta Feature.

TourFX continually improves and evolves the Services.

Accordingly, TourFX may, at any time and without liability:

• Add new features;
• Modify existing functionality;
• Improve or redesign user interfaces;
• Replace underlying technologies;
• Change artificial intelligence models;
• Adjust workflows or processing methods;
• Introduce or remove integrations;
• Modify subscription features or usage limits; or
• Retire existing functionality.

Where required by applicable law, TourFX will provide reasonable notice of material changes affecting paid Services.

TourFX reserves the right to discontinue all or any portion of the Services at any time.

If TourFX permanently discontinues a paid Service before the end of your prepaid subscription period, TourFX may, at its discretion or where required by applicable law, provide a prorated refund, account credit, or other appropriate remedy.

TourFX shall not be liable for any loss of business, revenue, goodwill, data, opportunities, or other damages resulting from the modification, suspension, replacement, or discontinuation of any feature or Service, except to the extent required by applicable law.

Users remain responsible for maintaining their own backup copies of User Content and Generated Content prior to any discontinuation of the Services.

This Section contains important disclaimers and limitations of liability relating to real estate, artificial intelligence, professional services, and marketing outcomes.

Unless expressly stated in a separate written agreement, TourFX is a technology platform and does not provide real estate brokerage, agency representation, property management, appraisal, inspection, escrow, title, mortgage, legal, tax, financial, engineering, architectural, or surveying services.

Nothing within the Services creates a broker-client, agency, fiduciary, attorney-client, or other professional relationship between you and TourFX.

Any information, suggestions, recommendations, analyses, captions, descriptions, pricing guidance, marketing ideas, or other content generated through the Services is provided for informational purposes only.

Such content should not be considered legal, financial, tax, appraisal, inspection, engineering, architectural, brokerage, marketing, investment, or other professional advice.

You are solely responsible for obtaining independent professional advice where appropriate.

The Services utilize artificial intelligence to generate, modify, enhance, or analyze images, videos, voiceovers, text, property information, marketing materials, and other content.

Artificial intelligence is inherently probabilistic and may produce inaccurate, incomplete, inconsistent, biased, or unexpected results.

TourFX makes no representation or warranty regarding the accuracy, completeness, reliability, legality, suitability, or fitness of any AI-generated output.

You are solely responsible for reviewing, verifying, and approving all Generated Content before publishing, distributing, marketing, or otherwise relying upon it.

This includes verifying, where applicable:

• Property photographs;
• Virtual staging;
• Virtual twilight conversions;
• AI-enhanced images;
• Videos and animations;
• Property descriptions;
• Captions and marketing copy;
• Voiceovers;
• Property facts and specifications;
• Measurements, dimensions, and square footage; and
• Any other Generated Content.

You acknowledge that AI-generated outputs may contain errors that require human review.

You are solely responsible for ensuring that your use of the Services complies with all applicable:

• Federal, state, and local laws;
• MLS rules and policies;
• Brokerage requirements;
• REALTOR® association rules;
• Fair housing laws;
• Advertising regulations;
• Copyright laws;
• Licensing requirements; and
• Any other applicable legal or professional obligations.

TourFX does not verify that Generated Content complies with any particular law, MLS, brokerage, or regulatory requirement.

Any property information displayed, imported, generated, estimated, or analyzed through the Services may originate from user submissions, publicly available sources, third-party providers, or artificial intelligence.

TourFX does not guarantee the accuracy, completeness, timeliness, ownership, availability, or legal status of any property information.

Users remain solely responsible for independently verifying all property information before relying upon or publishing it.

Virtual staging, object removal, virtual twilight, sky replacement, decluttering, image enhancement, AI editing, and similar features create modified representations of a property.

Such content may not reflect the property's current physical condition and should be used responsibly and in compliance with applicable laws, MLS rules, brokerage policies, advertising standards, and disclosure requirements.

You are solely responsible for determining whether disclosures or other notices are required when using modified or AI-generated real estate media.

TourFX does not guarantee that use of the Services will result in increased property value, faster sales, additional inquiries, improved marketing performance, higher engagement, greater commissions, increased revenue, or any other business outcome.

Individual results vary based on numerous factors outside TourFX's control, including market conditions, pricing, property condition, competition, marketing strategy, buyer demand, and user decisions.

You acknowledge that your use of the Services and any Generated Content is entirely at your own risk.

You assume full responsibility for all decisions made based upon information or content provided through the Services, including any publication, marketing, advertising, business, legal, financial, or real estate decisions.
